Terms & Conditions

General

Unless otherwise agreed in writing by STRYDOT & Company NV, these general conditions apply to all sales and services of STRYDOT & Company NV, to the exclusion of all conditions of the customer.

Proposals and orders

Proposals from STRYDOT & Company NV are purely informative, do not constitute an offer for sale by STRYDOT & Company NV and therefore cannot bind the latter in any way. The written confirmation of the order by STRYDOT & Company NV brings the agreement into being. The parties are therefore only bound by this order confirmation. 

Prices

Prices are "delivered" prices, including VAT. The prices are based on the cost factors as they were at the time of the conclusion of the agreement. STRYDOT & Company reserves the right to charge the Purchaser a proportional price increase in case of price increases of material costs and/or wages in case of devaluation.

Transfer of Risk

The customer bears the risk as soon as the goods leave the warehouse of STRYDOT & Company NV. This means that STRYDOT & Company NV is not responsible for any accidents or damages during transport.

Delivery time

STRYDOT & Company NV will do everything in its power to respect the proposed delivery period. Delays do not constitute a reason to cancel the contract or to pay any compensation. In case of force majeure STRYDOT & Company NV may suspend or dissolve the contract at its discretion. The customer waives any right to compensation.

Payment

The STRYDOT & Company NV invoices are payable in cash at Eikevliet or by transferring the amount due to the ING account number BE96 3630 1493 4505. An invoice is considered acceptable if it is not protested within eight days. This implies acceptance of our general terms and conditions. In the absence of a protest within 30 days of the invoice date, a monthly interest of 1.5% will be charged. Independently of the above-mentioned interest and after expiry of 60 days from the invoice date, a fixed and irreducible compensation of 15% with a minimum amount of 50.00 Euro will be due. This compensation will be due without prior notice to cover the administrative costs related to the collection.

Guarantee and liability

Complaints about visible defects must be submitted in writing and at the latest eight days after delivery or collection of the goods to the registered office of STRYDOT & Company NV. Invisible defects must be notified by registered letter within three months after delivery. The goods concerned must be presented at Eikevliet to experts of both parties who, in the event of disagreement, will appoint a third expert with decision-making powers.

Competence

All disputes to which the execution or interpretation of STRYDOT & Company NV agreements and services may give rise, fall under the exclusive jurisdiction of the courts of Antwerp and are governed by Belgian law.
